These Terms & Conditions constitute a binding legal agreement between you ("Customer") and NGS (Solea) Estates Ltd ("Company"). By accessing our website, placing an order, or using our products, you acknowledge that you have read, understood, and agree to be bound by these terms, our Privacy Policy, and Website Terms of Use, all of which are incorporated herein by reference.

1. Legal Entity & Brand Clarification

Oleaphen is a brand name of NGS (Solea) Estates Ltd, a company registered in Cyprus (Registration No. HE 407097). All sales, payments, and contractual relationships are between the customer and NGS (Solea) Estates Ltd. References to "we," "us," or "our" refer to NGS (Solea) Estates Ltd.

2. Service Description

NGS (Solea) Estates Ltd produces and sells high polyphenol olive oil under the Oleaphen brand through a subscription-based model. Products are shipped following harvest and preparation cycles. As an agricultural product, availability and delivery are subject to seasonal harvesting and natural variations.

3. Subscription Plans & Renewal

Available subscription plans:

  • Legacy Member Plan (€1200): Exclusive 12-month subscription limited to 200 members only. Includes one (1) monthly box of 30 High-Potency Phenolic Pods and one (1) personalized 500ml bottle of Early-Harvest EVOO per month.

  • Platinum Annual (€660): 12-month supply of High-Potency Phenolic Pods

  • Gold 6-Month (€390): 6-month supply of High-Potency Phenolic Pods

  • Silver One-Time (€75): Single 30-dose box

Subscription Renewal Notification:
Legacy, Annual and 6-month subscriptions do not renew automatically. As your subscription period approaches its end, we will notify you in advance. If you would like to renew and stock is available, you will have the opportunity to do so. Renewal is not guaranteed and is strictly subject to product availability at the time of your response. Timely communication is advised.

Subscription Modifications:
Requests to modify your subscription plan must be submitted at least 30 days before your next billing cycle by contacting contact@oleaphen.com. Modifications are only permitted upward (e.g., from Monthly to 6-Month or from 6-Month to Annual or Legacy), and are subject to stock availability. Requests to downscale your plan (e.g., from Legacy to Annual or Annual to 6-Month) are not permitted and will instead be governed by the Refund & Cancellation Policy outlined in Section 7.

Installment Plans:
Available for longer subscriptions with terms specified at checkout.

4. Payment Terms

  • All prices are listed in Euro (€) and include VAT where applicable

  • For all subscriptions, payment is required at checkout or per scheduled installments

  • For installment plans, 50% of the total subscription cost is payable at checkout. The remaining balance is paid in monthly installments after the delivery of the first half of your subscription.

    • For example:

      • 6-Month Plan: After receiving the first 3 months (3 units), monthly payments begin for the remaining 3 units.

      • 12-Month Plan: After receiving the first 6 months (6 units), monthly payments begin for the remaining 6 units.

  • By subscribing, you authorize recurring monthly payments for installment plans

  • We reserve the right to modify pricing with 30 days' notice for future orders

  • Failed payments may result in subscription suspension or cancellation

5. Delivery Terms

  • Orders fund a single annual harvest with delivery expected to begin November 2025

  • All orders are shipped from the European Union.

  • Risk of loss transfers to the customer upon delivery

  • Customers are responsible for providing accurate shipping addresses

  • Delivery timeframes are estimates and may vary due to customs processing or other factors beyond our control

  • Signed delivery confirmation may be required for orders over €200

Legacy Members receive monthly deliveries of:

  • One (1) box of 30 High-Potency Phenolic Pods

  • One (1) personalized 500ml bottle of Early-Harvest EVOO

These shipments are guaranteed monthly for the full 12-month duration of the Legacy subscription, even if general stock becomes limited.

6. International Duties, Tariffs & Import Charges

6.1 United Kingdom and United States

For customers in the UK and USA:

Baseline Import Charges: NGS (Solea) Estates Ltd assumes responsibility for standard import duties, taxes, and customs clearance fees applicable at the time of purchase ("Baseline Charges").

Tariff Changes: If new tariffs, increased tariff rates, or additional import regulations are imposed after your purchase date but before delivery ("Tariff Changes"):

  • NGS (Solea) Estates Ltd will notify you in writing within 7 days of becoming aware of such changes

  • You will be provided with the exact cost impact and revised total price

  • You must respond within 14 days with one of the following options:

    • Accept the price increase and proceed with delivery

    • Pause your subscription until tariffs revert (if applicable)

    • Cancel your order and receive a full refund for undelivered products

    • Convert your payment to store credit for future use

Customer Non-Response: Failure to respond within the 14-day notice period will result in automatic order suspension. Orders may be cancelled after 60 days of suspension.

These charges apply per unit (e.g., each monthly box or pod shipment) and will be added to your order total at checkout.

Customer Responsibility for Import Fees:
In addition to shipping charges, you are solely responsible for all import-related costs, including but not limited to:

  • Import duties and tariffs (existing and future)

  • Value-added tax (VAT), goods and services tax (GST), or equivalent local taxes

  • Customs clearance fees and brokerage charges

  • Administrative fees, inspection costs, and handling charges

  • Any other government-imposed charges specific to your country

Payment and Clearance:
All such charges must be paid directly to the relevant authorities or customs agents. NGS (Solea) Estates Ltd will not prepay, advance, or reimburse these costs.

Delivery Contingency:
If you fail to pay required import or clearance fees, or if shipments are returned for non-payment, you remain liable for the full purchase price. No refunds will be provided for rejected or undelivered orders due to unpaid import obligations.

Regulatory Compliance:
It is your responsibility to ensure that Oleaphen products comply with all applicable import regulations in your country. These may include restrictions on health supplements, labeling requirements, ingredient approvals, or certification demands.
If products are refused entry, confiscated, or returned due to non-compliance with local laws, NGS (Solea) Estates Ltd accepts no liability and no refund will be issued. We recommend you check with your local customs or regulatory authority before ordering.

Country Availability:
Countries not expressly listed above are not eligible for shipment at this time.

6.3 General Import Terms

Customer Acknowledgment: By placing an order for international delivery, you acknowledge understanding of your import obligations and agree to comply with all applicable customs regulations.

Rate Changes: Import rates and regulations may change without notice. We are not responsible for increases in duties, taxes, or fees occurring after your purchase date, except as specifically provided for UK and USA customers in Section 6.1.

Documentation: We will provide accurate customs declarations and required export documentation. Customers are responsible for providing any additional documentation required by their customs authorities.

7. Refund & Cancellation Policy

Legacy Member

  • 90% refund if cancelled within 30 days of purchase

  • No refund after 30 days unless NGS (Solea) Estates Ltd fails to deliver

  • Pause or transfer to another recipient allowed with written notice

Platinum Annual

  • 80% refund if cancelled within 30 days of purchase

  • No refund after 30 days unless NGS (Solea) Estates Ltd fails to deliver

  • Pause or transfer to another recipient allowed with written notice

Gold 6-Month

  • 70% refund within 30 days of purchase

  • No refund after 30 days unless NGS (Solea) Estates Ltd fails to deliver

  • Transfer to another recipient allowed with written notice

Silver One-Time

  • Full refund available within 30 days of purchase

  • No refund after 30 days unless NGS (Solea) Estates Ltd fails to deliver

  • Transfer to another recipient allowed with written notice

General Refund Terms

  • All refund requests must be submitted to contact@oleaphen.com

  • For quality issues after delivery: replacement product or store credit for future orders

  • For customer dissatisfaction: 50% store credit toward future purchases (one-time offer)

  • Post-shipment remedies (store credit, replacements) are processed within 14 business days

  • Store credits are valid for 24 months from issue date

  • Refunds will be issued to the original payment method

  • Processing fees may be deducted from monetary refunds where permitted by law

  • Quality Guarantee: Products arriving damaged or significantly below stated specifications will be replaced at no cost

8. Product Specifications & Disclaimer

Oleaphen high polyphenol olive oil is a natural food product with inherent variability. While we maintain strict quality standards, exact polyphenol levels may vary between batches due to natural agricultural factors.

Health Disclaimer: This product is not intended to diagnose, treat, cure, or prevent any disease. Always consult your healthcare provider before use if you have existing medical conditions, take medications, or are pregnant or nursing.

Quality Warranty: We warrant that products are free from defects in materials and workmanship at the time of delivery but do not guarantee specific health outcomes or exact nutritional specifications due to natural variation.

9. Storage & Use Instructions

Oleaphen High Potency Phenolic Olive Oil is a natural, nutraceutical food product that contains up to 30X more olive polyphenols than standard extra virgin olive oil. To preserve its potency and integrity, all pods are sealed in biodegradable, oxygen-blocking packaging and stored under strict cold and dark conditions prior to delivery.

Storage Guidelines (After Delivery):

  • Although refrigeration is not required, it is recommended if storing for extended periods.

  • For everyday use, pods may be stored at room temperature for up to 1 month without compromising polyphenol stability.

  • Always store in a cool, dry place away from heat and direct sunlight.

  • Avoid temperature fluctuations to protect the integrity of the olive polyphenols.

Packaging Integrity:
Do not use the product if the pod appears damaged, compromised, or exposed to light for extended periods.

Use Instructions:
Consume one 5ml pod daily, ideally in the morning or as recommended by your healthcare provider. Each pod is designed to deliver a precise, unoxidized dose of high phenolic olive oil with clinically relevant levels of olive polyphenols.

We are not responsible for degradation of polyphenol content due to improper storage after delivery or failure to follow usage instructions.

10. Force Majeure & Harvest Dependency

As an agricultural product dependent on annual harvest, delivery may be affected by circumstances beyond our reasonable control including but not limited to:

  • Adverse weather conditions, climate events, drought, or crop failure

  • Government regulations, trade restrictions, sanctions, or embargo

  • Pandemic-related disruptions or supply chain interruptions

  • Acts of war, terrorism, civil unrest, or labor disputes

  • Natural disasters or infrastructure failures

In such events, we will provide alternative solutions including delayed delivery, partial refunds, store credit, or plan modifications. Our liability is limited to refunding payments for undelivered products. We will communicate any delays promptly and provide regular updates.

11. Data Protection & Privacy

NGS (Solea) Estates Ltd processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable privacy laws. We collect and use data solely for:

  • Order processing and fulfillment

  • Shipping and logistics coordination

  • Customer service and communication

  • Marketing communications (opt-in only)

You retain the following rights: access, rectify, erase, restrict processing, data portability, and object to processing. Contact us at contact@oleaphen.com to exercise these rights.

Data retention periods, third-party sharing details, and complete privacy practices are outlined in our Privacy Policy, which is incorporated by reference into these Terms.

12. Intellectual Property

All content, trademarks, logos, product names, and proprietary information on this website and related to our products remain the exclusive property of NGS (Solea) Estates Ltd. The "Oleaphen" brand name and associated marks are protected intellectual property.

Unauthorized use, reproduction, distribution, or modification of our intellectual property is strictly prohibited and may result in legal action.

13. Terms Updates & Modifications

We reserve the right to modify these Terms to reflect legal, operational, or regulatory changes. Material changes will be communicated via email and/or website notice at least 30 days before taking effect. Revised Terms will be posted on our website with updated effective dates.

Continued use of our services after modifications constitute acceptance of the updated Terms. If you disagree with changes, you may cancel your subscription according to Section 7.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

  • NGS (Solea) Estates Ltd's total liability for any claim related to products or services shall not exceed the amount paid by the customer for the specific product giving rise to the claim

  • We exclude liability for consequential, indirect, incidental, punitive, or special damages

  • We do not warrant uninterrupted or error-free service

  • Some jurisdictions do not allow certain liability exclusions, so these limitations may not apply to you

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Cyprus and applicable European Union legislation.

For EU Consumer Customers: Disputes may be resolved through the European Commission's Online Dispute Resolution platform (ec.europa.eu/consumers/odr) or your local consumer protection authorities.

For All Other Disputes: You agree to attempt good-faith mediation before pursuing litigation. If mediation fails, exclusive jurisdiction lies with the courts of Nicosia, Cyprus.

Class Action Waiver: Where permitted by law, you agree to resolve disputes individually and waive participation in class actions.

16. General Provisions

Severability

If any provision of these Terms is found unenforceable, the remainder shall remain in full force and effect.

Assignment

NGS (Solea) Estates Ltd may assign these Terms without notice. Customers may not assign their rights or obligations without our written consent.

Communications

Official notices will be sent via email to your registered address. Communications are deemed delivered 48 hours after sending, regardless of whether they are opened or read. It is your responsibility to ensure that emails from contact@oleaphen.com are not blocked, redirected to spam, junk, or promotional folders by your email provider or filter settings. We recommend adding this email to your contacts or safe sender list to avoid missing important updates regarding your subscription, payments, or deliveries.

You must keep your contact information current at all times.

Entire Agreement

These Terms, together with our Privacy Policy and Website Terms of Use, constitute the complete agreement between parties and supersede all prior agreements.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

18. Referral Program Terms

18.1 Program Overview

NGS (Solea) Estates Ltd operates a referral program to reward customers who help grow the Oleaphen community. This program is designed to encourage organic growth, reward loyalty, and protect the integrity of our limited harvest model. Participation is subject to these terms, which may be modified at our sole discretion.

18.2 Eligibility Requirements

To participate in the referral program, you must:

  • Hold an active paid subscription (Trial, 6-Month, or 12-Month)

  • Have no outstanding balances or unresolved account issues

  • Use a valid, unique referral link generated by the Oleaphen platform

  • Comply fully with all Terms & Conditions, including this Section 18

You are eligible to refer others regardless of your subscription tier, but you only receive a reward when the person you refer:

  • Purchases a 12-Month Health Mastery Plan,

  • Completes full initial payment, and

  • Maintains an active subscription for at least 30 consecutive days

18.3 Referral Process & Rewards

  • Each verified referral earns you one (1) additional box/unit of pods, delivered in your next shipment or as a separate delivery.

  • There is no cap on how many units you can earn. Each successful referral results in a reward—one unit per valid referral.

  • Rewards will be processed after the referred customer meets the criteria in Section 18.2.

  • If stock is temporarily unavailable, we will issue an equivalent-value store credit, valid for 24 months.

Referral rewards are not redeemable for cash and cannot be exchanged for other products or discounts.

18.4 Distribution Rules

  • Your referral link is intended for private, personal use only (e.g., sharing with friends, family, or colleagues).

  • Referral links may not be posted on coupon sites, deal forums, paid advertising, or public social media posts unless explicitly authorized.

  • Mass distribution, automation, and paid promotion of referral codes is strictly prohibited.

  • Referral rewards are non-transferable and tied to the original referring account.

18.5 Verification & Fraud Prevention

To protect the integrity of our referral program, NGS (Solea) Estates Ltd may implement fraud prevention measures including but not limited to:

  • Monitoring IP addresses, device IDs, and browser fingerprints

  • Reviewing purchase histories, payment patterns, and delivery addresses

  • Analyzing communication patterns between referrers and referees

  • Use of third-party fraud detection software and manual account review

We reserve the right to request additional verification including:

  • Valid proof of identity

  • Confirmation of personal relationship

  • Explanation of referral activity and circumstances

  • Re-verification of payment and account data

During any investigation, all pending rewards will be suspended until a determination is made.

18.6 Prohibited Activities

The following are strictly prohibited:

  • Self-referral or referral of immediate household members under alternate names or emails

  • Creation of fake, duplicate, or fraudulent accounts to generate rewards

  • Using temporary or prepaid cards to avoid payment verification

  • Coordinated signups or mass account creation

  • Misrepresenting the referral program, benefits, or Oleaphen products

  • Offering financial compensation or incentives to others to use your referral link

Violation of any of these terms may result in disqualification from the referral program, termination of your subscription, and revocation of pending or earned rewards.

18.7 Enforcement & Remedies

If a violation is confirmed, NGS (Solea) Estates Ltd reserves the right to take any of the following actions:

  • Revoke all pending and previously issued referral rewards

  • Suspend or permanently terminate the referring customer’s account

  • Cancel current and future subscriptions without refund

  • Seek legal remedies to recover fraudulently obtained products or credits

  • Report activity to relevant regulatory or law enforcement bodies

Customers may appeal a disqualification decision by submitting documentation to contact@oleaphen.com within 30 days of notification.

18.8 Program Modifications & Termination

NGS (Solea) Estates Ltd reserves the right to:

  • Modify program rules, reward values, or eligibility with 7 days’ notice

  • Temporarily suspend the program due to inventory constraints or system upgrades

  • Terminate the program at any time without prior notice if necessary for business continuity

  • Cap the total number of rewards per customer to maintain program sustainability

All changes will be published on www.highphenolic.com and communicated via email when appropriate.

18.9 Legal & Tax Compliance

Referral rewards may be considered taxable income depending on your jurisdiction. You are solely responsible for reporting and paying any applicable taxes related to rewards received.

Participation in the referral program constitutes acceptance of all Terms & Conditions, our Privacy Policy, and applicable national laws related to marketing, taxation, and consumer protection.

18.10 Data Usage

Participation in the referral program grants NGS (Solea) Estates Ltd the right to:

  • Track and analyze referral behavior for fraud prevention

  • Store referral communications, links, and associated metadata

  • Share referral activity with third-party fraud prevention or verification services

  • Use anonymized referral data for marketing, program improvements, and performance analysis

All data is handled in accordance with our Privacy Policy and applicable EU GDPR regulations.
